Terms of Use

1. Acceptance of Terms

By downloading, installing, or using the Vorynce iOS application ("App") or visiting vorynce.com ("Website"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the App or Website. These Terms are between you and Foculoom LLC ("Foculoom," "we," "us," or "our").

2. Description of Service

Vorynce is a voice-first productivity application that provides voice recording, on-device transcription, AI-powered task extraction, a focus timer, and an audio journal. The App uses Apple's Speech framework and, on supported devices, on-device Apple Intelligence to process voice input and extract actionable tasks.

The App is distributed through the Apple App Store. Features may be updated, expanded, or changed over time.

3. Permitted Use

You may use the App for lawful personal productivity and organizational purposes. You agree not to:

• Use the App to record, store, or transcribe conversations without the consent of all parties where required by applicable law.
• Reproduce, resell, or redistribute App content or functionality in bulk without our written consent.
• Attempt to reverse-engineer, decompile, or extract the underlying AI models or frameworks.
• Use the service in any manner that violates applicable law or these Terms.

4. AI Task Extraction and Transcription Accuracy

Vorynce uses artificial intelligence to transcribe speech and extract tasks from your voice notes. You acknowledge that:

• Transcription accuracy depends on audio quality, background noise, and the capabilities of Apple's Speech framework.
• AI-extracted tasks, deadlines, and priorities are suggested interpretations of your natural speech and may not accurately reflect your intent. You are responsible for reviewing and confirming extracted tasks before acting on them.
• Apple Intelligence features vary by device. On devices without Apple Intelligence support, task extraction may be unavailable or limited. See our blog post on Apple Intelligence availability for details.

5. Service Changes and Continuity

The App and its features may be updated, changed, or discontinued at any time. You acknowledge that:

• The App may contain errors, bugs, or incomplete features.
• Foculoom may discontinue the service at any time.
• We welcome feedback via our support page.

6. Intellectual Property

The App, Website, and their contents (excluding open-source components with their respective licenses) are owned by or licensed to Foculoom LLC. Vorynce is a trademark of Foculoom LLC. Apple Speech framework and Apple Intelligence are trademarks of Apple Inc.

7. Disclaimer of Warranties

THE APP AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. FOCULOOM DOES NOT WARRANT THAT THE APP WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT TRANSCRIPTIONS OR AI-EXTRACTED TASKS WILL BE ACCURATE, COMPLETE, OR APPLICABLE TO YOUR CIRCUMSTANCES.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOCULOOM LLC AND ITS MEMBERS, OFFICERS, AGENTS, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING DAMAGES ARISING FROM RELIANCE ON TRANSCRIPTIONS OR AI-EXTRACTED TASKS, MISSED DEADLINES, OR LOST PRODUCTIVITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL FOCULOOM'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

10. Changes to Terms

We may update these Terms from time to time. Material changes will be reflected in an updated effective date. Your continued use of the App or Website after changes constitutes acceptance of the revised Terms.
